1. Scope and Acceptance
These Terms govern access to the Moduck website, accounts, APIs, developer tools, and associated services (collectively, the “Services”). If you use the Services on behalf of an organization, you must have authority to bind it. You must meet applicable age and eligibility requirements.
These Terms operate together with any expressly linked pricing rules, acceptable use policy, and privacy policy. Any individually executed enterprise agreement should state clearly which provisions take precedence.
2. Nature of the Services
Moduck is designed to offer a unified means of accessing capabilities provided by multiple AI models. Requests may be processed by independent model developers, inference providers, infrastructure partners, or other third parties. Unless we expressly state otherwise, we do not claim to own or develop every model listed through the Services, or to guarantee the continued availability of a particular model.
Model names, features, interfaces, availability, regional restrictions, pricing, and underlying providers may change. Specific models or integrations may be subject to additional third-party terms and restrictions, which you should evaluate before using them in production.
3. Accounts
You agree to provide accurate, current account and billing information and protect your account credentials. You are responsible for activity properly authorized under your account. If you suspect unauthorized access, promptly email contact@moduck.ai. Security verification requirements will be described according to our implemented workflows.
4. API Keys and Security
API keys are sensitive access credentials. Do not embed them in public repositories, exposed client-side applications, or insecure systems. Use appropriate safeguards, including least-privilege access, secure secret storage, rotation, and access restrictions where supported. If a key is exposed or lost, revoke or replace it using the functions then available, or contact support.
Charges resulting from unauthorized use and any associated billing adjustments will be governed by the published dispute policy and applicable law. Nothing here excludes liability that cannot lawfully be excluded.
5. Acceptable Use and Limits
You must not use the Services for unlawful activities, infringement, fraud, harmful interference, malicious activity, circumvention of security or billing controls, or uses prohibited by the applicable model policies. Reasonable rate limits, concurrency limits, permissions, and usage controls may apply. The applicable limits are set out on the product page or in an individual agreement.
6. Third-Party Models and Dependencies
The Services may depend on external model and infrastructure providers. Their outages, model retirements, policy changes, performance variations, and capacity constraints may affect availability. Subject to actual operational capability, we may communicate material changes or offer guidance and alternatives, but do not promise seamless substitution for every model or endpoint.
You should implement appropriate retries, fallbacks, validation, and human review for business-critical workloads. Do not rely solely on unverified AI output for decisions with significant consequences.
7. Inputs, Outputs, and Intellectual Property
As between you and Moduck, you retain the rights you lawfully hold in materials you submit. Your ability to obtain or exercise rights in model outputs depends on applicable law, rights in inputs, relevant third-party licenses, and the applicable provider terms. Moduck does not acquire ownership of your inputs merely because they pass through the Services.
Outputs may be inaccurate, incomplete, similar to outputs received by others, or implicate third-party rights. You remain responsible for evaluating whether and how outputs may be used. We do not guarantee exclusive ownership or unrestricted rights to every output.
8. Pricing, Metering, and Payment
Different models may be billed by input tokens, output tokens, generated images, audio/video duration, requests, jobs, or other units. Applicable prices and measurement rules should be disclosed before use and reflected in the then-current model pricing information.
9. Failed Requests and Billing Disputes
Whether a failed, timed-out, partially completed, or upstream-rejected request incurs a charge may depend on the stage of failure and resources already consumed. We will document the applicable rules, together with auditable usage identifiers or records to the extent supported by the product.
For suspected duplicate charges, unauthorized usage, or metering mistakes, email contact@moduck.ai, including request IDs, time, model, and disputed amount. Claims will be reviewed under the published policy and applicable law.
10. Data and Privacy
Our published Privacy Policy describes how personal data is handled. API inputs, files, and related data may be transmitted to relevant upstream providers according to model selection and routing arrangements. Please read the applicable provider information, retention policies, and international transfer details. Enterprise customers may require an appropriate data processing agreement depending on the parties' actual roles and applicable law.
11. Confidentiality and Security
Specific commitments about encryption, access control, training usage, data retention, or certifications will be made only in a security statement or binding written agreement; marketing language alone does not create additional commitments.
12. Service Changes and Maintenance
Interfaces, models, pricing, and components may change. Material changes affecting existing users will be handled in accordance with applicable laws, contracts, and the published notification process. Service-level or response-time commitments apply only where expressly agreed in writing.
13. Suspension and Termination
We may proportionately restrict or suspend use in response to material breaches, nonpayment, illegal misuse, or urgent security threats, subject to law. Where practicable and lawful, we will provide an explanation and an appropriate route for review. Account closure, remaining balances, and retained records will be governed by the finalized billing, refund, and privacy policies.
14. Disclaimers
AI outputs can be incorrect, biased, incomplete, or unsuitable for particular use cases. Except as expressly required by law or agreed in a separate written contract, the Services are provided as available and are not warranted to meet every business objective. Nothing excludes rights or warranties that applicable law prohibits us from excluding.
15. Changes and Notices
Material changes will be communicated in a manner proportionate to their impact. Where applicable law requires affirmative consent, we will seek it.
